We are Project Ensemble, a UK-based creative agency. When you work with us, you agree to our terms. Projects are priced based on scope, time, and creative complexity. We retain ownership of work until full payment is received. We can showcase our work unless agreed otherwise. Clients must provide timely feedback and required assets. Either party can end the project for serious issues. Our liability is limited to the amount you paid us.

Project Ensemble is a creative agency to be incorporated in the United Kingdom. We specialise in high-concept fashion and movement-based projects.

3. Services We Offer
We offer a range of creative services, including but not limited to:
- Choreographic runway shows
- Fashion film production
- Performance art installations
- Creative direction and styling
- Movement workshops and consultations
We tailor each project according to its objectives, complexity, and required resources.
4. Engagement and Pricing
Our projects are scoped based on one or more of the following pricing models:
- Hourly or daily rates
- Fixed-fee projects
- Value-based pricing (based on impact and creative scope)
Deposits and Invoicing
- A non-refundable deposit of 30 to 50 percent is required before any work begins.
- Remaining balances are invoiced upon completion or at agreed milestones.
- All payments must be made via bank transfer.
- Late payments (more than 14 calendar days overdue) will incur a late payment fee.
- In the event of extended non-payment, we may refer the outstanding balance to a debt collection agency, and you will be liable for any associated fees.
5. Scope Changes and Revisions
Scope Changes
If the scope of work changes after commencement, including deliverables, direction, or schedule:
- We will revise the timeline and fees accordingly.
- Additional agreement or written confirmation will be required before proceeding.
Revisions
Unless specified otherwise:
- Your project includes up to two rounds of revisions.
- Additional revisions beyond the included rounds may be charged at our daily or hourly rate, with advance notice and written approval.
6. Client Responsibilities
As the client, you are responsible for:
- Providing all required materials, content, brand assets, and guidelines before the project begins.
- Responding to requests for feedback or approval within 3 to 5 business days.
- Ensuring all materials provided to us are free of third-party legal claims or licensing restrictions.
- Assuming responsibility for the legality and appropriateness of the content and direction you provide.
If your delay exceeds 14 business days without prior agreement, the project may be paused or invoiced based on completed work to date. Projects inactive for more than 30 days may be marked complete and billed accordingly.
7. Intellectual Property
Ownership of Deliverables
- All deliverables, concepts, and materials created by us remain the intellectual property of Project Ensemble until full payment has been received.
- Upon payment in full, you will receive usage rights for the final agreed deliverables, limited to the intended purpose of the project.
Client Materials
- You retain ownership of any materials you provide to us.
- You confirm that you have the legal right to use and share those materials and that doing so will not infringe on any third-party rights.
8. Usage Rights and Portfolio Display
- You may use the final deliverables only for their intended purpose as agreed in your project scope.
- You may not sell, license, alter, redistribute, or use them for unrelated commercial purposes without our written permission.
- We reserve the right to showcase the work in our portfolio, website, social media, and future promotional materials unless otherwise agreed in writing.
9. Subcontracting and Collaboration
We may engage trusted subcontractors or collaborators to deliver parts of your project. We remain responsible for project management, quality, and communication throughout.
10. Confidentiality
All sensitive or proprietary information exchanged will remain confidential. Both parties agree not to disclose or misuse such information during or after the conclusion of the project.
11. Publicity Release
Unless explicitly requested otherwise in writing, you grant Project Ensemble the right to:
- Document behind-the-scenes content during the project
- Share process-related materials and project outcomes across social media or press channels
We will not share any confidential business details, unreleased work, or sensitive commercial strategy without explicit permission.
12. Project Termination
Either party may terminate the project if:
- The client fails to pay invoices after repeated reminders
- There is a material breach of these Terms
- The client fails to deliver required materials or misrepresents their ownership or content
- Circumstances beyond control (see Force Majeure) prevent either party from continuing
- Project Ensemble becomes unable to perform due to internal capacity or external restrictions
If terminated by the client:
- You will be invoiced for all completed work to date
- The deposit remains non-refundable
13. Limitation of Liability
To the fullest extent permitted under UK law:
- Our liability is limited to the total amount of fees you have paid to Project Ensemble.
- We are not liable for any indirect, incidental, or consequential losses, including loss of profit, data, business reputation, or third-party claims.
- You agree to indemnify and hold harmless Project Ensemble against any legal claims arising from your use of the deliverables or breach of these Terms.
14. Force Majeure
Neither party is liable for failure to perform obligations under these Terms due to events outside their control. This includes but is not limited to:
- Illness or injury
- Natural disasters
- War or terrorism
- Labour strikes or internet outages
- Government actions or regulations
In such cases, we will work together to agree on an adjusted timeline or, if necessary, termination with fair compensation for work completed.
15. No Guarantee of Results
While we strive to deliver creative and strategic excellence, Project Ensemble makes no guarantee regarding:
- Public reception, press attention, or client business outcomes
- Third-party performance of deliverables
- Specific commercial or emotional impacts
16. Governing Law
These Terms are governed by the laws of England and Wales. Any legal matters must be brought before the courts of England and Wales.
17. Dispute Resolution
In the event of a dispute, the parties agree to follow this order of resolution:
- Attempt to resolve the issue through informal negotiation
- If unresolved, proceed to mediation
- If still unresolved, submit to binding arbitration
- As a last resort, initiate legal proceedings through the courts of England and Wales
18. Updates to These Terms
We may update these Terms from time to time. Any changes will be published on our website. Continuing to work with us or use our services after changes are posted constitutes acceptance of the revised Terms.
